KATHRYN NG

Kathryn was admitted as an advocate and solicitor of the High Court of Malaya in 2016. She graduated from the University of Reading, UK with an LLB (Hons) and completed Certificate of Legal Practice in Malaysia.

Having diversified expertise in corporate and commercial matters, Kathryn has founded Kathryn Ng & Co. in 2019 and thereafter forming a partnership in 2021. She specialises in mergers and acquisitions, capital market transactions, fund-raising and restructuring exercises. She has represented her clients in, inter alia, private placements, investment contracts, share sale agreements, joint venture and collaboration arrangements and shareholder agreements.
A few of the notable transactions handled by Kathryn includes being appointed as the principal legal advisor for a private placement of redeemable preference shares of up to RM2billion and a private placement for an education fund registered in Singapore for a target fund size of up to SGD40million. In 2020, she has represented her client in an acquisition of a licensed money exchange for a value of RM18million and recently, she has completed an acquisition of shares in a club in Kuala Lumpur; in partnership with the biggest EDM club established in Bangkok.
Kathryn has represented and is representing clients from diverse range of businesses encompassing investment holding companies, trust companies, property developers, IT companies, media companies, F&B establishments and licensed moneylenders. Further, she has participated in a joint venture between parties in relation to a mixed-use development project in Raub with a gross development value of RM300 million and was the panel lawyer handling the sale and purchase transactions for the said project. She also handles conveyancing related matters such as tenancies and sale and purchase agreements, with the largest sale and purchase transaction of a commercial building amounting to RM85million.

GIDEON JOHN LUKE

Gideon was admitted as an advocate and solicitor of the High Court of Malaya in 2017. He graduated from the University of Reading, UK with an LLB (Hons) and completed the Certificate of Legal Practice in Malaysia.
Gideon’s scope of practice encompasses a wide array of litigation and commercial matters. Gideon has worked in a couple of notable law firms in Malaysia, namely Shearn Delamore & Raja Darryl & Loh, where his primary focus then was litigation matters and corporate advisory, with experience dealing with family law disputes. He has also worked as a legal consultant for Accenture, a Fortune 500 company. He regularly provides advice on regulatory and compliance matters and is well experienced in contract drafting and review, drafting amongst others JV agreements, Services & framework agreements, Partnership agreements etc.
He has represented his clients in all courts of Malaysia, from the Magistrates court all the way up to the Federal Court level. Other than litigation, he has also been involved with international arbitration & adjudication matters. He also regularly provides advice on matters in relation to high value commercial transactions in the ASEAN region (predominantly supporting Malaysia, Singapore, Indonesia and Thailand) and advises on multi-million dollar deals frequently, providing end-to-end legal and contracting support.
Some of his notable cases would be acting for a client for a RM13million moneylending transaction, acting for a leading domestic plastics company for a suit of RM18million and acting for a local developer in a construction dispute of RM 32million all the way up to the Federal Court.
